General Provisions

1.1. This public offer for the provision of charitable donations (hereinafter referred to as the "Offer") is a proposal from the Non-Governmental Organization “Edusphera,” registered at the address: Ukraine, Kyiv, Yaroslaviv Val 7, of. 5, e-mail: gro.arehpsude%40ih, acting on the basis of the Charter, hereinafter referred to as the "Beneficiary," to an indefinite number of capable natural persons and private legal entities who voluntarily engage in charitable activities (hereinafter each such person is referred to as the "Donor"), to enter into an agreement for the provision of charitable donations (hereinafter referred to as the "Agreement") under the terms described in this Offer with each Donor who accepts it.

1.2. This Offer is a proposal to enter into an agreement in accordance with Article 641 of the Civil Code of Ukraine.

1.3. This Offer takes effect upon its publication on the website at https://edusphera.org (hereinafter referred to as the "Website"). This Offer is valid indefinitely and may be amended or withdrawn by the Beneficiary at any time (prior to its acceptance by the Donor) by posting the relevant information on the Website.

Subject of the Agreement

2.1. Under this Agreement, the Donor gratuitously and irrevocably transfers monetary funds as a voluntary charitable donation to the ownership of the Beneficiary, and the Beneficiary accepts such a charitable donation and undertakes to allocate it to the purpose for which the donation was directed. All funds received by the Beneficiary in connection with the operation of the Website will be used for charitable purposes.

2.2. The transfer of monetary funds by the Donor under this Agreement is recognized as a charitable donation in accordance with Article 6 of the Law of Ukraine "On Charitable Activities and Charitable Organizations."

2.3. The Donor independently determines the amount of the charitable donation. The Donor has the right to request information from the Beneficiary about the nature and amount of required charitable assistance for specific charitable "projects" and organizations to which assistance will be directed.

2.4. The execution and performance of this Agreement is not intended to and does not result in the generation of profit by any party.

Acceptance of the Offer

3.1. The Donor independently determines the amount of the charitable donation and makes the donation by transferring funds using the payment forms and means provided on the Website. Charitable donations are indefinite, and their use by the Beneficiary is not limited in time.

3.2. When making a donation, the Donor provides their contact information and data necessary for proper identification.

3.3. Acceptance of the Offer constitutes full and unconditional acceptance by the Donor through actions transferring funds to the Beneficiary as a charitable donation in the manner specified in the Offer. The Offer is considered accepted and the Agreement concluded from the date the funds are credited to the Beneficiary’s account.

3.4. By accepting the Offer, the Donor confirms their agreement with all the terms of the Offer, fully understands, and agrees with the subject and conditions of the Agreement.

3.5. Expenses related to the provision of charitable donations (transfer fees, taxes, duties, etc.) are borne by the Donor if such expenses are charged to the Donor, and by the Beneficiary if such expenses are charged to the Beneficiary. The Donor understands and agrees that part of their charitable donation may be used by the Beneficiary to cover expenses related to the provision of charitable donations if such expenses are charged by third parties by default and cannot be avoided (e.g., payment system acquiring fees, bank fees, etc.).

Rights and Obligations of the Parties

4.1. The Beneficiary undertakes to allocate all monetary funds received from the Donor to charitable purposes.

4.2. Funds directed by Donors to support the institutional activities of the organization will be used for such activities.

4.3. By providing a charitable donation, the Donor affirms their legal capacity and the voluntary nature of the transaction, confirms that the subject of the charitable donation is not subject to prohibition, arrest, or encumbrance by third-party rights, and was not acquired in violation of the Law of Ukraine No. 361-IX "On Prevention and Counteraction to Legalization (Laundering) of Proceeds of Crime, Financing of Terrorism, and Financing of Proliferation of Weapons of Mass Destruction."

Final Provisions

5.1. Funds are collected to support projects and initiatives specified on the Website’s pages on an ongoing basis.

5.2. By making a charitable donation through the Website or by paying to the Beneficiary’s details, the Donor consents to these terms and agrees that the donation amount is non-refundable.

5.3. In the event of disputes between the Parties, they shall be resolved through negotiations. If negotiation fails, disputes are resolved in accordance with the legal procedures established by law.
